# The Iceberg of Korean Incorporation

Every founder starts the same way: pick a name, sign a few forms, get a registration certificate. **"Done".**

And here's the uncomfortable truth: that part really is simple. It's also the smallest part of the job.

The trap isn't the paperwork. It's mistaking "incorporated" for "operational." That's where timelines quietly start slipping, not on day one, but three weeks in, when the bank account still isn't open and nobody can say why.

The real question was never *can I register a company in Korea.* It's *can I actually run one here.*

**❄️ What's Below the Surface**

Four things founders rarely see coming, in the order they usually hit:

→ **Commercial registry filings.** Incorporating a foreign-invested entity involves several linked stages beyond the registry itself, from the initial investment notification through remittance of funds and final registration \[1\]. Notarized and translated corporate records are required throughout, and small errors send filings back to the start of the queue.

→ **NTS tax registration.** A separate process from incorporation entirely. Once the company is registered, founders have a strict window, typically around 20 days, to secure a Business Registration Certificate from the National Tax Service \[2\]. Miss that window and everything downstream, invoicing, payroll, banking, stalls with it.

→ **Corporate bank account setup.** Korean banks scrutinize foreign-owned entities closely. Full know-your-customer review for a foreign-invested company can realistically add two to four weeks before the account is usable \[3\], making this one of the most time-sensitive steps in the entire setup process.

→ **D-8 investor visas and hiring.** Immigration and employment compliance most founders don't know exists until the moment they need it. Even the investment notification itself carries a filing deadline of its own, generally within 30 days of the payment being completed \[3\], and everything visa-related sits downstream of that.

**🌊 Why Weeks Turn Into Months**

It's rarely one big obstacle. It's sequencing.

File things in the wrong order and bottlenecks appear that cost far more time than doing it right the first time. A tax registration submitted before the bank account is ready. A visa application filed before the entity is fully active. Korean authorities also expect a level of documentation precision that surprises most first-time founders. "Close enough" doesn't clear a registry review.

And relationships matter more than most people expect. Banks, tax offices, and immigration officials move faster for advisors they already work with. None of this shows up when you Google "how to register a company in Korea," because none of it is written down in one place. It's learned.
